Figure 1 Site Rendering of NOVONIX’s New Facility BRISBANE, Australia, Dec. 17, 2024 (GLOBE NEWSWIRE) -- NOVONIX Limited (NASDAQ: NVX, ASX: NVX) (“NOVONIX” or “the Company”), a leading battery materials and technology company, announced today a conditional commitment to NOVONIX through one if its wholly-owned U.S.-based subsidiaries (“Borrower”), from the U.S. Department of Energy (“DOE”) through the Loan Programs Office (“LPO”) for a direct loan of up to US$754.8 million ($692 million in principal and $62.8 million in capitalized interest) to be applied towards partially financing a proposed new facility in Chattanooga, Tennessee (the “New Facility”). The proposed financing is being offered under the DOE LPO’s Advanced Technology Vehicles Manufacturing (“ATVM”) Loan Program. If finalized, the loan would be applied towards partially financing the construction of the New Facility in Chattanooga, Tennessee, to manufacture synthetic graphite primarily for use in electric vehicle (“EV”) batteries. At full capacity, the new facility is expected to produce approximately 31,500 tonnes per annum (“tpa”) of synthetic graphite, which can support the production of lithium-ion batteries for approximately 325,000 EVs each year. China currently has over 95% market share for battery grade graphite 1 . The new facility is expected to reach full production capacity by the end of 2028 and is anticipated to create 450 full-time operational jobs and 500 construction jobs. Dr. Chris Burns, CEO of NOVONIX said, “This announcement is the culmination of years of hard work and is another critical milestone for our anode materials business towards our target production of 150,000 tpa in North America. This conditional commitment from the government to invest in our new facility continues to underscore the focus on localizing critical materials in the battery supply chain, such as graphite. Recent announcements from China to further scrutinize the export of battery-grade graphite to the United States highlight the importance of domestic production of high-performance, battery-grade synthetic graphite. Our offtake agreements with strong partners have strengthened our leadership in onshoring the synthetic graphite supply chain in North America and supporting the path towards U.S. energy independence.” This year, NOVONIX has signed binding offtake agreements to supply synthetic graphite to Panasonic Energy 2 , Stellantis 3 , and PowerCo 4 . To meet this demand, the Company has previously discussed plans to build a new facility in the southeastern United States which could expand up to 75,000 tpa or production capacity. This proposed ATVM Program loan would support the construction of the first phase of the New Facility and the initial production capacity of 31,500 tpa. NOVONIX plans to subsequently expand the production capacity of this site to its target of 75,000 tpa of synthetic graphite production, any such expansion being dependent on customer demand and access to additional financing. NOVONIX’s Riverside facility, also located in Chattanooga, is poised to become the first large-scale production site dedicated to high-performance synthetic graphite for the battery sector in North America. It is slated to begin commercial production in 2025, with plans to grow output to 20,000 tpa to meet current customer commitments. Previously, the Company announced that the DOE’s Office of Manufacturing and Energy Supply Chains (“MESC”) awarded the Company a US$100 million grant 5 and that it was selected for a US$103 million investment tax credit 6 towards the funding of the Riverside facility. Key terms of the DOE’s conditional commitment, including those set forth in a non-binding term sheet attached to the conditional commitment letter signed by the DOE, NOVONIX and the Borrower, include: The loan is for a maximum amount of US$754.8 million, which includes up to US$692.0 million in principal and up to US$62.8 million in capitalized interest and will be structured in two tranches based on a phased completion of infrastructure and production lines from a total eligible investment of US$943.6 million. The loan will be comprised of two primary tranches that will have terms of 15 years and 10 years, respectively, from the date of first payment of each. The first tranche will be to support the site and infrastructure for the New Facility and 21,000 tpa of production capacity, while the second tranche will support an additional 10,500 tpa of production capacity. An additional tranche to fund eligible project costs will be subject to repayment upon receipt of any proceeds derived from the monetization of any tax credit received by the Company or the Borrower related to the New Facility under the Qualifying Advanced Energy Project Allocation Program. The loan will be guaranteed by the Company and secured by a first priority security interest in all assets of the Borrower, equity interests in and, with certain exceptions, assets of certain of NOVONIX’s existing subsidiaries. Each advance of loan proceeds will have a separate interest rate set by the Federal Financing Bank under the general supervision of the Secretary of Treasury at the time that the respective advance is made. While this conditional commitment demonstrates DOE’s intent to finance the New Facility, DOE must complete an environmental review, and the Company must satisfy certain technical, commercial, legal, environmental, and financial conditions before DOE can decide whether to enter into definitive financing documents and fund the loan. A binding loan agreement from DOE is also subject to the satisfactory completion of due diligence by DOE, satisfaction of conditions precedent specified in the term sheet, approval of the NOVONIX Board, receipt of required governmental and third-party consents, and the negotiation and execution of binding loan documents. Once binding loan documents have been signed, NOVONIX and the Borrower will need to satisfy certain conditions precedent prior to loan closing, and / or prior to first and subsequent advances of loan proceeds. The National Highway Traffic Safety Administration said Monday that it finalized the rule, which also requires enhanced warnings when front seat belts aren’t fastened. The agency estimates that the new rule will save 50 lives per year and prevent 500 injuries when fully in effect, according to a statement. The new rule will apply to passenger cars, trucks, buses except for school buses, and multipurpose vehicles weighing up to 10,000 pounds. Before the rule, seat belt warnings were required only for the driver’s seat. Under the new rule, outboard front-seat passengers also must get a warning if they don’t fasten their belts. Front-center seats will not get a warning because NHTSA found that it wouldn’t be cost effective. The agency said most vehicles already have warnings for the outboard passenger seats. The rule also lengthens the duration of audio and visual warnings for the driver’s seat. The front-seat rules are effective starting Sept. 1 of 2026. Rear passengers consistently use seat belts at a lower rate than front passengers, the agency says. In 2022, front belt use was just under 92%, while rear use dropped to about 82%. About half of automobile passengers who died in crashes two years ago weren’t wearing belts, according to NHTSA data. The seat belt rule is the second significant regulation to come from NHTSA in the past two months. In November the agency bolstered its five-star auto safety ratings to include driver assistance technologies and pedestrian protection. Sri Lanka is home to the world’s first female Prime Minister, Sirimavo Bandaranaike, yet it remains a country with one of the lowest levels of female representation in Parliament globally. Despite this, there has been little progress in increasing female representation in leadership positions within the legislative and executive branches of Government since the country gained independence. Female representation in Sri Lanka’s political institutions has never exceeded 5.8 percent, a figure that has remained remarkably stagnant throughout the years. This issue extends beyond politics. In the private sector, while progress has been slow, there have been notable developments. For example, 14 Sri Lankan companies have pledged to increase female representation in leadership roles to 20 percent by 2025. These pledges reflect a growing awareness of the need for more inclusive leadership in decision-making positions. Recognising the importance of improving female leadership, the Government and civil society organisations (CSOs) are beginning to focus on this issue more directly. Women make up 51 percent of Sri Lanka’s population, yet their presence in local and National Government remains disproportionately low. In an effort to address this imbalance, the Government introduced a 25 percent quota for female candidates in local elections in 2017, a significant step towards increasing female political participation.Yet, its impact has yet to reach the national level. In the 2020 elections, women represented 12 percent of the total candidates. However, the number of women elected to Parliament remained unchanged at 12, maintaining the 5.3 percent representation.This highlights a crucial challenge: while the participation of women in politics has increased in certain areas, the National Parliament and Cabinet still lag behind in achieving gender parity. Historic milestones The 2024 general election recorded some remarkable achievements for women in Sri Lanka’s political scene. Sri Lanka has made a significant milestone marking the historical change in its 16th Parliament, with women MPs now holding 10.06 percent of the seats in Parliament, totalling 24 out of 225. The maximum it has been in the history was 5.8 percent in 2010. One of the most notable events was Dr. Harini Amarasuriya securing the second-highest preferential votes in the history of Sri Lankan elections. She broke the previous record set by Mahinda Rajapaksa in 2020, receiving over 655,289 preferential votes from the Colombo district. Dr. Harini’s achievement is not just a personal triumph, but a breakthrough for women in leadership. Her victory made history as she became Sri Lanka’s 16th Prime Minister, the first woman to hold the office from a non-political background. Another significant development was the election of Samival Ambika, the first woman to be elected to Parliament from the Upcountry Tamil community. By defeating entrenched political families and securing more votes than many male counterparts, Ambika broke the long standing male dominance in Upcountry politics. Her victory challenges the dynastic political control of the Thondamans and Digambaram families, who have dominated the plantation Tamil community for over 70 years. Ambika’s success offers hope for land rights, rural development, and addressing long standing issues in the hill country. Women in the Cabinet While the progress in terms of female MPs is encouraging, women’s representation in the Cabinet remains limited. On November 18, 2024, the newly formed NPP Government took office with a 21 member Cabinet, but only two women (Including the PM Dr. Harini Amarasuriya) were appointed to key ministerial positions. This continues a long standing trend in Sri Lanka, where only 2-3 women have been included in the Cabinet at most. Women have typically been assigned roles in ministries such as Health, Education or Women and Child Affairs, areas that are often considered “gendered” issues rather than broader governance roles. Among the 29 Deputy Ministers appointed, none are women, highlighting a noticeable gender gap in the current leadership appointments. However, there is a glimmer of hope. Prime Minister Dr. Harini Amarasuriya holds a leadership role in the Cabinet, which signals a potential shift in how women might be integrated into more prominent political positions in the future. Despite this, the overall number of women in the Cabinet remains disappointingly low, with many areas of governance still largely male dominated. Women’s representation in politics is crucial for creating a fair and balanced society. In Sri Lanka, Parliament is the highest decision-making body in the country, and it plays a key role in shaping laws and policies. For a democracy to truly reflect the needs and values of its people, it must include both men and women in leadership roles. Gender equality in politics is not just about fairness, it’s also essential for achieving the United Nations’ 2030 Sustainable Development Goals, especially Goal five, which calls for equal opportunities for women in decision-making at all levels. Studies show that when women hold leadership positions, they are more likely to address issues like gender-based violence, education, and healthcare, which leads to a safer, healthier, and more prosperous society for everyone. Women in politics also help improve the quality of life for families and communities. Research shows that women are more likely to focus on policies that benefit children, families, and minority groups, such as education, healthcare, and social welfare. Their leadership brings cooperation across party lines, as well as a more inclusive approach to solving problems. Women in politics have a powerful role model effect, inspiring girls to aim higher and close the gender gap in education and career goals. Studies in India and Fiji show that female leaders encourage more girls to pursue education and leadership roles. Moreover, women represent half of the world’s population, so for a Government to truly serve all its people, it must be inclusive of women. The increase in the number of female candidates, particularly from the NPP, shows that change is possible, but it will take more than just a growing number of women on the ballot. It requires political parties to make a meaningful commitment to gender equity in leadership roles. To address this, substantial legal and policy reforms are needed to create a more inclusive environment. Key recommendations for moving forward include empowering women through targeted training. This should focus on the legal framework, decision-making skills, media handling, and negotiation techniques to prepare women for leadership roles. Capacity building and peer support networks should also be prioritised, with training extended to entire councils rather than selected individuals, ensuring a more inclusive approach. Financial support for women candidates and international networking are also crucial for ensuring that women can compete on equal footing in elections. There is also a pressing need to protect vulnerable groups such as youth with disabilities and ensure responsible media coverage. Recently, incidents involving the production and dissemination of pornographic content using deepfake technology have shocked local communities in North Chungcheong. Cases reported at a middle school in Cheongju and a high school in Chungju highlighted the involvement of youth as both perpetrators and victims. Easy access to such technologies, coupled with a lack of digital ethics and insufficient legal deterrence, is exacerbating the problem. Deepfake technology uses AI to create fake videos by merging an individual’s face or voice with other content. Deepfake pornography distributed via social media and messaging apps inflicts severe psychological trauma on victims. Moreover, the persistence of such material on the internet makes it highly susceptible to secondary and tertiary harm. Park Ji-heon, a member of the North Chungcheong Provincial Council (People Power Party, Cheongju District 12), has urged local governments and educational authorities to implement effective countermeasures, emphasizing the importance of strong public awareness campaigns to prevent digital sex crimes. He stressed that prevention is key and called for active interventions. According to Oh Kyung-sook, Director of the Gender Equality and Family Policy Office in North Chungcheong Province, reports and investigations of digital sex crimes in the region have surged from 276 cases four years ago to 544 cases this year—almost doubling in frequency.
